Board of Directors
The Board of Directors of Intelbras is the decision-making body responsible for formulating and monitoring the implementation of general business policies, including long-term strategies. It is also responsible for appointing the Company’s executive officers and overseeing their work, amongst other functions. According to Brazilian Corporation Law, the Board of Directors is also responsible for appointing independent auditors.
Pursuant to the Bylaws of Intelbras, the Board of Directors ordinarily meets at least once every quarter and extraordinarily whenever it is required, in order to address corporate interests. All decisions of the Board of Directors are made by a majority of votes of the members present at any meeting duly called and installed, save for matters subject to qualified or special quorum. Pursuant to the Bylaws of Intelbras, the Board of Directors shall have at least three and at most ten sitting members and up to ten alternate members. The board members are elected at General Meetings for a unified term of office of one year, with re-election allowed. According to the Novo Mercado Regulations, at least 2 or 20% (whichever is greater) of the members of the Board of Directors shall be Independent. The condition of independent board member shall be expressly stated at the General Meeting that elects him/her.
Mr. Jorge Luiz Savi de Freitas is the Chair of the Board of Directors. He graduated in Business Administration from PUC/RS. He joined Intelbras in 1976, having worked as a stockman, buyer, administrative department manager and, later, Chief Administrative and Financial Officer. Between 1980 and 2005, he was the President/CEO of Intelbras. In 2005, he took office as Chair of the Board of Directors and has remained in such position until now.
Mr. Pedro Horn de Freitas is a board member. He graduated in Business Administration in 2004 from the Federal University of Santa Catarina – UFSC. He joined Intelbras in 2000 as a new business assistant and, in 2002, became product marketing analyst. He served as sales manager for small and medium retailers in 2004, sales national manager in 2006, commercial retailer officer in 2008, and chief marketing officer in 2009. He has been a board member since 2011.
Mr. Antonio de Freitas Aiquel is a board member. He graduated in Business Administration in 2005 from PUC/RS and has an MBA in Business Management from the Getúlio Vargas Foundation – FGV, earned in 2012. He joined Intelbras in 2006 as sales national manager. He also served as product marketing manager from 2009 to 2011. He is an entrepreneur in the premium sports cars industry and has been a board member since 2011.
Mr. Gilberto Heinzelmann is a board member. He earned a bachelor’s degree in Mechanical Engineering in 1986 from the Federal University of Santa Catarina – UFSC, an Executive MBA in 2007 from Universidade Positivo and a graduate degree in Materials Engineering in 1993 from FERJ. He has been the CEO of ZEN S.A. since 2012 and a member of the board of directors of Librelato since 2019. He was a member of the board of curators of the CERTI Foundation from 2012 to 2019. Additionally, he has been a member of the strategic committee of FIESC since 2019, and co-founder and business partner in TNS since 2010. He has been a board member since 2020.
Mr. Lin Xiong is a board member. He earned a bachelor’s degree in Geotechnical Engineering in 2007 from Southeast University, in China. He is currently the Director of Dahua Technology Brasil Comércio e Serviços em Segurança Eletrônica LTDA. He joined Intelbras in 2019 as a Board member and has held the position to the present date.
Mr. Mateus Affonso Bandeira is a board member. Graduated in Computer Science at the Catholic University of Pelotas, with a specialization in Corporate Finance and Management at FGV and Federal University of Rio Grande do Sul. Holds an MBA at Wharton School, University of Pennsylvania and a specialization for CEOs (OPM) at Harvard Business School. He has been a member of the Board of Directors of BR Distribuidora since 2019. Between 2011 and 2017, he was Partner-President and CEO of FALCONI – Consultores de Resultados. He was a member of the Boards of Directors of Banco Pan (2011 to 2018), PDG Realty (2012 to 2016), Terra Santa Agro (2016 to 2018) and Moinhos de Vento Hospital (since 2017). He was a member of the Board of Fundação Estudar between 2012 and 2017. In addition, he was President of Banrisul and IR Director (2010 to 2011) and member of the CdA (2008 to 2011), Director/Undersecretary of the Treasury of RS state (2007 to 2008) , Secretary of Planning and Management of the state of RS (2008 to 2010). He also served in the Federal Senate (2006), in the Ministry of Finance (2004 to 2006) and in the Secretary of Finance of the State of RS (1993 to 1999).
Mr. Rogério Sekeff Zampronha is a board member. Graduated in economics at the University of São Paulo with an MBA from IMC (Lausanne, Switzerland). Mr. Rogério began his career in the financial sector and, in the 1990s, founded his first company. After selling his stake, he started Soft Brasil, a technology company focused on industrial automation, acquired by Schneider Electric in 2010, a company of which he was appointed president in Brazil in 2013. In 2015, he was invited to join Vestas, the main manufacturer of wind turbines in the world, taking the Danish company to market leadership in South America.
Executive Board
The Executive Officers of Intelbras are its legal representatives and are mainly responsible for its daily management and for the implementation of general policies and guidelines set forth by the Board of Directors. Executive Officers are elected by the Board of Directors for a unified term of office of one year, with re-election allowed.
The Bylaws provide that the Executive Board must be composed of at least two, and at most, six members, either shareholders or not, of whom a Chief Executive Officer, a Chief Financial Officer and an Investor Relations Officer. The Officers may hold more than one position. If applicable, the other Directors will have the designations conferred on them by the Board of Directors.
When performing their duties, the Officers may carry out all operations and acts necessary to accomplish their position-related goals, pursuant to the Bylaws as to the form of representation and general business guidelines established by the Board of Directors.
Mr. Altair Angelo Silvestri is the Chief Executive Officer of Intelbras. With over 50 years of experience in the market, he joined the Company in 1979 and has been serving as the CEO since 2005. He earned a bachelor’s degree in Economics from Fundação Educacional de Santa Catarina – FEESC and a graduate degree in Industrial Economics from the Federal University of Santa Catarina – UFSC.
Mr. Rafael Boeing is the Chief Administrative, Financial Superintendent and Investor Relations Officer of Intelbras. He has over 40 years of experience in the financial market. He earned a bachelor’s degree in Accounting from the Federal University of Santa Catarina – UFSC and a graduate degree in Business Management from the Getúlio Vargas Foundation – FGV. He joined the Company in 1994 as the Chief Administrative, Financial and Investor Relations Officer and has remained in the position until now.
Mr. Henrique Fernandez has a degree in Electrical Engineering, a Postgraduate Degree in Business Management from Fundação Dom Cabral, an MBA in Business Management from the Fritz Muller Institution and an International Executive MBA in Leadership and Management from the Saint Paul Escola de Negócios Institution. He has worked at Intelbras since 2007, serving as Business Unit Executive Director since 2015, and as Business Unit Superintendent Director since 2022, having been elected in May 2023 as Communications Superintendent Director.
Mr. Marcio Ferreira da Silva is an Electronics technician from the Centro Estadual de Educação Tecnológica Paula Souza institution, graduated in Electrical Engineering from Universidade Paulista, and Postgraduate in Industrial Administration from the University of São Paulo. He has worked at Intelbras since 2007, serving as Commercial Director since 2013, and since 2022 as Business Unit Superintendent Director, having been elected in May 2023 as Energy Superintendent Director.
Mr. Paulo Daniel Correa has a degree in Electrical Engineering and a Postgraduate Degree in Software Engineering from the Federal University of Lauras (UFLA), and an MBA in Business Management from Fundação Getúlio Vargas. He has worked at Intelbras since 2012, serving since 2017 as Business Unit Executive Director, and since 2022 as Business Unit Superintendent Director, having been elected in May 2023 as Security Superintendent Director.
